Pursuant to section 5A(1) of the Registration of Businesses Act 1956, the person responsible for a business has to, not later than 30 days from the date of the commencement of the business, apply to the Registrar to register that business.
a. If the applicant is using his own name as per identity card as the business name:
• there is no need to apply for approval of the business name.
• the applicant has to fill in and complete Form A (Registration of a New Business).
• the applicant has to append a copy of his identity card.
• registration fee is RM30.00 only.
b. If the applicant is using a trade name as the business name:
• the applicant has to submit an application for approval
of the business name using Form PNA 42.
• if the business name is approved, the applicant has to fill in and complete Form A (Registration of a New Business).
• the applicant has to append a copy of his identity card/letter of approval from a Government Agency
(if applicable).
• registration fee is RM60.00 only.
Registration Fees for Business registration
a. Registration fee for a sole proprietorship using own name as per identity card is RM30.00 only.
b. Registration fee for a sole proprietorship and partnership using a trade name is RM60.00 only.
c. Registration fee for a partnership is RM60.00 only
d. Registration of branch – RM5.00 per branch
e. Certified copy of new business details – RM10.00
Note: The business owner is responsible for renewal of the Business Registration Certificate within 30 days before its expiry.
Incorporation of a Local Company
A company having a share capital may be incorporated as a private company or public company. The requirements to form a company are:
i. A minimum of two subscribers to the shares of the company (Section 4 CA);
ii. A minimum of two directors (Section 22 CA); and
iii. A company secretary who can be either:
a. an individual who is a member of a professional body prescribed by the Minister of Domestic Trade and Consumer Affairs; or
b. an individual licensed by the Companies Commission of Malaysia (“SSM”).
Both the director and company secretary shall have their principal or only place of residence within Malaysia.

Each application for the incorporation of a company shall be accompanied with payment as per the schedule below:

Certificate of Incorporation
Certificates of incorporation will be issued by SSM upon compliance with the incorporation procedures and submission of duly completed incorporation documents:
a. Form 8 – Certificate of Incorporation for a public company
b. Form 9 – Certificate of Incorporation for a private company
A company is advised to obtain the required license/ permit/ approval from other relevant authorities before carrying on any business outlined in the Memorandum of Association.
